Dispute resolution and arbitration agreement
Please read this section carefully. It affects your legal rights.
Informal resolution first. If a dispute arises out of or relates to these Terms or the Site, you agree to first contact us at the information below and attempt to resolve it informally for at least 30 days before starting arbitration or any legal proceeding.
Binding arbitration. If a dispute is not resolved informally, you and Si-Logix agree that it will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will be held in, or conducted remotely with a connection to, Texas, and Texas law will apply as described under Governing law.
Class action waiver. You and Si-Logix agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding, to the extent permitted by applicable law.
Exceptions. Nothing in this section limits Si-Logix's right to seek injunctive or other equitable relief in court to protect its intellectual property or to prevent unauthorized access to or misuse of the Site.
Opting out. You may opt out of this arbitration agreement by emailing us at info@si-logix.com within 30 days of first accepting these Terms, stating your intent to opt out of arbitration. If you opt out, disputes will instead be resolved in the courts described under Governing law, and the jury trial and class action waiver in this section will not apply to you.
Severability and entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Si-Logix regarding use of the Site and supersede any prior agreements. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
Force majeure
Si-Logix is not liable for any failure or delay in the Site's performance resulting from causes beyond our reasonable control, including outages, natural disasters, acts of government, labor disputes, or third-party service provider failures.
Changes to these Terms
We may revise these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
